01 Acceptance of Terms
By accessing or using the Ourava platform (the "Service"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Service.
These terms constitute a legally binding agreement between you, as a representative of a business entity ("User", "You"), and Ourava ("We", "Us").
02 Service Description
B2B Quick Order for Shopify
Ourava provides a self-serve B2B ordering portal for Shopify merchants, enabling wholesale buyers to paste bulk SKU lists, upload CSV purchase orders, and check out without manual intervention.
The Service includes SKU matching, CSV import, order templates, and App Proxy integration with Shopify. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
03 User Responsibilities
Account Security
Users are responsible for maintaining the confidentiality of their credentials and all activities under their account.
Data Accuracy
You must provide accurate and complete business information for SKU matching and order processing to function correctly.
Users agree not to engage in prohibited activities including reverse engineering, unauthorized data scraping, or any action that compromises the integrity of the ordering platform.
04 Intellectual Property
All content, algorithms, interfaces, and branding on the Ourava platform are the exclusive property of Ourava or its licensors. Users are granted a limited, non-exclusive, non-transferable license to access the platform for internal business operations.
"The underlying matching engine, CSV import and parsing methods, and proprietary data pipelines remain the sole intellectual property of Ourava."
05 Limitation of Liability
To the maximum extent permitted by law, Ourava shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use of the Service, including but not limited to lost profits or order processing disruptions.
Our total liability for any claim arising out of these terms shall not exceed the amount paid by you to Ourava in the twelve (12) months preceding the claim.
06 Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Wilmington, Delaware.
